Ballboards Advertiser Terms of Service

These Advertiser Terms of Service ("Terms") govern your purchase and use of advertising services from Ballboards ("Ballboards," "we," "our," or "us"). By placing an order, approving artwork, or using our advertiser-facing services, you agree to these Terms.

1. Scope of Services

Ballboards provides advertiser services that may include:

  • Listing and selection of available ad inventory;
  • Artwork intake, revision support, and proofing;
  • Printing, installation, and campaign activation;
  • Campaign billing, invoices, and account support.

Inventory is offered on an availability basis and may include both marketplace and storefront channels.

2. Account and Eligibility

You must provide accurate, current account and billing information, including valid contact details. You are responsible for activity under your account and for keeping access credentials secure.

Ballboards may require authentication before checkout and may request additional information to verify account ownership or payment authorization.

3. Orders, Contract Term, and Campaign Start

When an order is completed, Ballboards creates one or more contracts associated with the purchased placements.

  • Contracts are annual commitments.
  • If you choose monthly payment options where available, monthly ad placement charges begin after proof of placement/installation and remain subject to a 12-month commitment.
  • Printing and installation amounts due at checkout are charged upfront.

Campaign start dates may depend on artwork approval, production lead times, installation scheduling, and venue readiness.

4. Artwork Approval and Production Authorization

You are responsible for reviewing and approving artwork proofs before production. Ballboards may block checkout or production until required approvals are completed.

By approving artwork, you authorize Ballboards to print and deploy approved creative for the applicable contract term and placements.

5. Content Standards and Rights

You represent that you have all rights and permissions necessary for submitted content (including logos, trademarks, images, copy, and claims). Content must not:

  • Infringe intellectual property or privacy rights;
  • Be unlawful, deceptive, defamatory, or otherwise prohibited by applicable law;
  • Contain malware or harmful code.

You grant Ballboards a non-exclusive, worldwide, royalty-free license to host, reproduce, format, print, display, and distribute submitted creative solely to perform the services.

6. Availability, Substitution, and Inventory Changes

Ad inventory can change between carting and checkout. Ballboards may validate availability at checkout and:

  • Substitute equivalent available boards/placements where appropriate; or
  • Remove unavailable placements from checkout and require re-selection.

Ballboards is not obligated to provide unavailable placements after they are sold, reserved, removed, or otherwise no longer deliverable.

7. Pricing and Payment Terms

Pricing may include ad placement fees, printing/fulfillment fees, discounts, financing fees, and applicable taxes/assessments if required by law.

Accepted payment methods may include card, eligible bank account methods, and approved check workflows. Ballboards may store and use payment credentials via PCI-compliant processors for current and future authorized charges under your contracts.

If payment fails, is disputed, reversed, or charged back, Ballboards may suspend performance, pause campaigns, recover costs, and pursue collection of outstanding balances.

8. Renewals

Certain contracts may renew according to the renewal terms presented in checkout, your order details, or your contract records. Unless otherwise required by law, renewal pricing may reflect then-current market rates and inventory conditions.

9. Fulfillment, Installation, and Performance

Typical production and installation timing begins after final artwork approval and may vary by venue, seasonality, logistics, and partner schedules.

Ballboards will use commercially reasonable efforts to deliver services. Exact installation dates, venue operations, and audience outcomes are not guaranteed.

10. Cancellations and Refunds

Refunds, cancellations, and service-issue resolution are governed by Ballboards policies then in effect, including the Fulfillment Policy. As reflected in current policy:

  • Before artwork approval: limited refund windows may apply;
  • After installation: refunds are generally not available.

11. Communications and Notices

You consent to receive transactional communications related to your account and orders, including invoices, receipts, service updates, and support notices, by email, SMS, or other contact methods you provide.

12. Suspension and Termination

Ballboards may suspend or terminate services for non-payment, policy violations, suspected fraud, legal risk, or misuse of the platform.

Termination does not relieve payment obligations already incurred.

13. Disclaimer of Warranties

Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Ballboards disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law, Ballboards will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.

Ballboards' aggregate liability for claims related to services under these Terms will not exceed amounts paid by you to Ballboards for the specific order(s) giving rise to the claim during the 12 months preceding the event.

15. Indemnification

You agree to defend, indemnify, and hold harmless Ballboards and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your content;
  • Your breach of these Terms;
  • Your violation of law or third-party rights.

16. Changes to These Terms

Ballboards may update these Terms from time to time. Updates are effective when posted unless a later effective date is stated. Your continued use of services after an update constitutes acceptance of the revised Terms.

17. Governing Law; Disputes

These Terms are governed by applicable U.S. law and the laws of the state identified in your controlling order or contract documentation, without regard to conflict-of-law rules.

Any dispute will be resolved in the courts identified in the controlling order or contract documentation, unless otherwise required by applicable law.
